Terms of Servicefor HeroSpace.

These Terms of Service ("Terms") govern your use of the HeroSpace website, desktop app, and related services provided by NextUI Inc. ("HeroSpace," "we," "us," or "our") (together, the "Service"). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old and legally able to enter into a binding agreement. If you use HeroSpace for an organization, you confirm that you are authorized to act on its behalf. In that case, "you" includes that organization.

HeroSpace is a desktop app for Mac that brings your mail, calendar, support tickets, meeting notes, tasks, and notes into one place. It connects to apps you choose, such as Gmail, Google Calendar, GitHub, Plain, and Granola, and works through AI coding agents you install and run on your own Mac, such as Claude Code, Codex, and Cursor. Features may change over time, as described in Beta Features and Availability.

Provide accurate account information and keep it current. You are responsible for protecting your sign-in methods, devices, and account access, and for everything done through your account, including by agents you connect to HeroSpace. Do not share verification codes or use another person's account without permission. Contact support@herospace.ai if you believe your account has been compromised.

Workspace administrators control membership, roles, and access to shared information. Only invite people and share content or connections when you have authority to do so. If you share a connection with your workspace, its members can use it through their agents under the permissions you set, and you remain responsible for that connection. If you join an organization's workspace, its policies may also govern your use and the information you place in that workspace.

Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use HeroSpace for your personal or organizational work. We and our licensors retain rights in the software, design, trademarks, and other materials we provide, except for rights expressly granted to you.

The desktop app checks for updates and installs one when you choose to restart into it. Separate licenses may apply to open-source components or other materials identified as having their own license. Those licenses govern the relevant components. Using HeroSpace does not grant ownership of our trademarks or permission to imply our endorsement.

You retain your rights in the information and materials you submit to HeroSpace ("Your Content"). You give us permission to host, store, process, transmit, and display Your Content only as needed to provide and secure the Service, carry out your instructions, and meet legal obligations, including through the service providers described in our Privacy Policy. This permission does not transfer ownership to us.

You are responsible for having the rights and permissions needed to provide Your Content, including information about other people in your mail, calendar, and tickets, and to make it available to your workspace, connected apps, and agents. Do not submit information you are prohibited from sharing. Keep appropriate backups of important records.

Personal information is handled as described in our Privacy Policy. Restrictions on Google user data described there also apply to our processing under these Terms.

HeroSpace does not provide AI models. Its agent features use coding agents you install and sign in to on your Mac, under your own account with each agent's provider. Those providers have their own terms, usage limits, charges, and data practices, and access to HeroSpace does not include a subscription to any of them unless an offer expressly says so.

You choose which agents you connect, what you ask them to do, and the permissions they have in your connected apps. When you ask an agent to act, approve an action it requests, or set an action to Allow so it runs without asking, the agent acts on your behalf and you are responsible for the result, including changes to code, messages sent, events changed, and business records. Review each action before you approve it. Drafts that HeroSpace or an agent writes for you are not sent until you send them, approve sending them, or let an agent send without asking.

AI output can be inaccurate, incomplete, or unsuitable for your purpose. Check it before you rely on it, especially for financial, health, legal, or safety matters. HeroSpace does not give professional advice. Do not rely on an agent or automation as the only safeguard for a high-impact or irreversible action. An output does not necessarily carry exclusive intellectual-property rights.

You may not use HeroSpace, or agents connected to it, to:

• Violate the law, another person's privacy, or intellectual-property rights.
• Access accounts, systems, or data without authorization, or bypass access controls, connection permissions, or approvals.
• Distribute malware, carry out fraud, harass others, or send unlawful or unsolicited messages in bulk.
• Interfere with the Service, overload its infrastructure, or evade usage restrictions.
• Misrepresent your identity or the origin, review, or approval of an action or message.
• Reverse engineer, resell, or redistribute the Service except where applicable law or a separate license permits it.

You must also follow the rules of the apps and agents you connect. A technical ability to perform an action does not grant permission to perform it.

HeroSpace is under active development. Features labeled beta, preview, or coming soon may be incomplete, change, or become unavailable. Product demonstrations and planned features are not a commitment that a feature is currently available or will be delivered on a particular date.

We may update the software, change features, set reasonable limits, or discontinue parts of the Service. We will provide notice when reasonably practicable and when required by law. We do not guarantee uninterrupted availability or compatibility with every device, agent, or third-party service.

Google, GitHub, Plain, Granola, AI agent providers, and other services you connect are operated independently. Their terms and privacy policies apply to your use of them. You are responsible for obtaining any required accounts, licenses, and permissions, and for connecting only accounts you are allowed to use. We are not responsible for their independent actions, availability, or changes. You can disconnect an app in Settings › Integrations or an agent in Settings › Agents, or revoke HeroSpace's access in that service's own settings; doing so may stop related HeroSpace features from working.

Any free access or beta offer applies on the terms shown with that offer. If we introduce a paid plan, we will present its price, billing period, renewal terms, and cancellation conditions before you purchase it. These Terms alone do not enroll you in a paid subscription or authorize a charge.

Charges from providers you connect, including AI agent providers, are separate. Any payment or refund rights required by applicable law continue to apply regardless of an offer's terms.

You may stop using HeroSpace at any time. To request account closure or deletion, contact support@herospace.ai from your account email. Signing out or uninstalling the desktop app does not automatically delete server-side records. Our Privacy Policy explains retention and deletion, including shared workspace information and records we may need to retain.

We may restrict or suspend access when reasonably necessary to address a breach of these Terms, a security risk, abuse, or a legal requirement. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Serious or urgent risks may require immediate action. Provisions that by their nature should survive account closure will continue to apply.

To the extent permitted by law, HeroSpace is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service or AI output will be error-free, secure in every circumstance, or suitable for every use.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive losses, including lost profits or business opportunities, arising from use of the Service, AI output, or actions agents take on your behalf. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable liability for fraud or willful misconduct. Mandatory consumer rights and remedies remain unaffected.

These Terms are governed by the laws of the United States and the state in which NextUI Inc. is incorporated, without regard to conflict-of-law rules. If you live in a country whose consumer laws give you the right to bring claims where you live, or under its laws, those rights still apply.

We may update these Terms as the Service evolves. We will post the revised version with an updated date and tell you in the app or by email before a significant change takes effect. Changes apply prospectively. If a change requires your consent, we will request it; if you do not agree to revised Terms, you should stop using the Service.

If a provision cannot be enforced, the remaining provisions continue to apply. A delay in enforcing a provision does not waive it. These Terms and any additional terms you expressly accept for a feature form the agreement for your use of HeroSpace.
